Software Licenses: "Terms and Conditions" and "Requirements"

Bob's Schmitt, Contracts Consultant
Technology Contracts Consultancy

Software "requirements" are as critical to the software license as the "terms and conditions".  Intellectual Property (IP) clauses should be clearly drafted so non-lawyers can understand their significance.  IT professionals should team with the lawyers and contract professionals to make the software license a practical document.  Complex software licenses and other IT agreements can be greatly improved through a basic systems approach.

Bob's Schmitt's experiences with drafting, negotiating and managing many mainframe and mid-range software licenses for Disney Worldwide Services, Blue Cross California, PacifiCare Health Systems and Toyota Financial Services brought practical perspectives about the importance of IT professionals to each stage of the process.
